These Terms and Conditions govern access to and use of naviaassist.com, the Navia AI Assistant and services provided by Navia EOOD / Navia LTD, UIC/EIK 208760135 (“Navia”, “we”, “us” or “our”).
By accessing the website, placing an order or using a Navia service, you confirm that you have read and agree to these Terms and Conditions.
If you do not agree with these Terms, you must not purchase or use the relevant service.
These Terms should be read together with our:

1. About Navia
Navia is a digital technology company providing services including:
- Navia AI Assistant.
- AI-powered website chat solutions.
- AI automation.
- Lead-collection and qualification systems.
- Website development.
- Web platforms.
- Ecommerce systems.
- Technical integrations.
- Technical consulting.
- Website support and maintenance.
- Custom digital solutions.
The exact services supplied to a customer are determined by the applicable product description, offer, order confirmation or written agreement.
2. Navia AI Assistant
The Navia AI Assistant is an artificial-intelligence system designed to perform functions such as:
- Interacting with website visitors.
- Answering general questions.
- Providing business information.
- Guiding users through conversations.
- Collecting inquiries.
- Collecting voluntarily supplied contact details.
- Identifying potential customer needs.
- Generating conversation summaries.
- Structuring potential business leads.
- Displaying conversations and lead information through an administrative dashboard.
The Navia AI Assistant is not a human representative. Its responses are generated automatically based on user input, information supplied by the client, configured instructions and third-party AI technology.
Specific functionality may vary according to the product purchased and the configuration agreed with the customer.
3. Eligibility and authority
By placing an order or using a Navia service, you confirm that:
- You are legally capable of entering into a binding agreement.
- The information you provide is accurate.
- You are authorized to act for the business or organization identified in the order, where applicable.
- You will use the service in accordance with applicable law.
- You have authority to provide the website, business and configuration information submitted to Navia.
If you place an order on behalf of a company or organization, you confirm that you have authority to bind that entity to these Terms.
4. Orders and formation of the contract
Products and services may be ordered through WooCommerce checkout on naviaassist.com or through a separately accepted written proposal.
An order submitted through the website constitutes an offer to purchase the selected service.
A contract is formed when:
- Navia accepts the order;
- the required payment is successfully confirmed; and
- the customer receives an order confirmation or Navia begins providing the service,
subject to any mandatory consumer-law requirements.
Navia may refuse or cancel an order before work begins where:
- The product was displayed with an obvious pricing or technical error.
- Payment was not successfully completed.
- Fraud or unauthorized payment is suspected.
- The requested implementation would be unlawful.
- The customer’s website or requested use is technically incompatible.
- The requested use falls outside the advertised service.
- Required information cannot be obtained.
- Providing the service would create an unreasonable security or reputational risk.
If Navia cancels an accepted paid order before work begins, the payment will be refunded unless it is affected by suspected fraud, a payment dispute or another lawful restriction.
5. Product descriptions and service scope
The scope of a purchased service is determined by:
- The applicable written proposal or service agreement.
- The WooCommerce order confirmation.
- The product description shown at the time of purchase.
- These Terms and Conditions.
A service includes only the features, implementation work, support and deliverables expressly stated in the applicable description or agreement.
Unless expressly included, a purchase does not include:
- Unlimited future changes.
- Unlimited technical support.
- Unlimited prompt modifications.
- Redesign of the customer’s website.
- Custom development.
- New integrations.
- Data migration.
- Content creation.
- Legal or compliance review.
- Third-party subscription or service charges.
- Continued management for an unlimited period.
- Features developed after the purchase.
- Work outside the agreed website or domain.
Additional work may require a separate quotation and payment.
6. One-time payments
Purchases completed through the current naviaassist.com checkout are processed as one-time payments.
The current website checkout does not create:
- An automatic subscription.
- Automatic recurring charges.
- Automatic monthly payments.
- Automatic annual payments.
- Automatic renewal.
A new payment requires a separate order or express written agreement.
Payments may be processed through Stripe or another displayed payment provider. Navia does not store full payment-card numbers or card security codes on its own servers.
The customer is responsible for:
- Providing correct billing information.
- Ensuring they are authorized to use the selected payment method.
- Reviewing the total price before placing the order.
- Retaining the order confirmation.
- Contacting Navia promptly regarding duplicate or unauthorized charges.
7. Prices, currencies and taxes
Prices are displayed in the currency shown during checkout.
Unless expressly stated otherwise:
- The price applies only to the service described.
- Additional work is not included.
- Third-party costs are not included.
- The customer is responsible for taxes, duties or charges applicable to their purchase, except where Navia is legally required to collect them.
- The final payable amount is the amount confirmed at checkout.
If a pricing error is obvious or caused by a technical malfunction, Navia may contact the customer to confirm the correct price or cancel and refund the affected order before work begins.
8. Monthly and yearly descriptions
Some Navia products may be described as monthly or yearly plans. These descriptions identify the service period covered by the individual payment.
A monthly-plan payment covers the period stated in the applicable product description, normally one month.
A yearly-plan payment covers the period stated in the applicable product description, normally one year.
Monthly and yearly plans do not renew automatically. Navia will not automatically charge the customer’s previous payment method at the end of the service period.
Before the service period ends, Navia and the client may discuss whether they wish to continue working together. Continuation requires confirmation by both parties.
If continuation is agreed, the client will receive a new order, invoice or secure payment link. The next service period begins only after the required confirmation and payment, unless otherwise agreed in writing.
Neither party is obligated to continue the service after the paid period ends.
If a new service period is not confirmed and paid for, services associated with ongoing management or support may end when the current paid period expires. Any consequences for assistant access, hosting, integrations, stored configurations or data will be communicated to the client and handled according to the applicable agreement and Privacy Policy.
9. Onboarding
Certain services require the customer to complete an onboarding process.
The customer may be asked to provide:
- Business information.
- Website information.
- Contact details.
- Services and product information.
- Languages.
- Branding preferences.
- Common customer questions.
- Assistant goals.
- Lead-collection preferences.
- Technical information.
- Website domains.
- Integration requirements.
- Other information reasonably required to configure the service.
The customer is responsible for ensuring that onboarding information is accurate, complete, lawful and up to date.
Implementation time generally begins after Navia receives:
- Successful payment.
- A complete onboarding submission.
- Necessary brand assets.
- Required technical information.
- Any required website access.
- Responses to material clarification questions.
Delays caused by missing, inaccurate or late information may extend the estimated delivery time.
10. Website access and credentials
Navia may require temporary access to a customer’s website or technical systems to perform an agreed integration.
Customers should:
- Create a temporary account where possible.
- Grant only permissions reasonably necessary for the work.
- Use a secure method to transmit credentials.
- Avoid sending permanent passwords through ordinary email or the onboarding form.
- Remove or disable temporary access after implementation.
- Maintain an independent backup of their website and data.
- Inform Navia of security restrictions or approval requirements.
Navia will use supplied access only for the agreed service, troubleshooting, testing or authorized support.
Navia is not responsible for problems caused by:
- Incorrect credentials.
- Pre-existing website errors.
- Unsupported themes or plugins.
- Outdated software.
- Malware or compromised hosting.
- Third-party modifications.
- Changes made by the customer or another provider.
- Failure to maintain an adequate backup.
11. Delivery and activation
Any stated implementation or activation period is an estimate unless expressly guaranteed in writing.
An estimate may be affected by:
- Incomplete onboarding information.
- Delayed customer responses.
- Website incompatibility.
- Hosting limitations.
- Third-party API availability.
- Security restrictions.
- Additional customer requests.
- Changes to the agreed scope.
- Events outside Navia’s reasonable control.
The customer must review the configured assistant and promptly report material errors or missing agreed functionality.
Activation may occur after reasonable testing based on the supplied business information and agreed requirements.
12. Customer responsibilities
Customers using the Navia AI Assistant are responsible for:
- Providing accurate and lawful business information.
- Reviewing configured responses and business details.
- Informing Navia of changes to prices, services, policies or contact information.
- Reviewing important leads before acting.
- Verifying AI-generated information.
- Protecting dashboard and website credentials.
- Ensuring lawful use of collected personal data.
- Providing legally required privacy and AI notices to website visitors.
- Maintaining their own Terms, Privacy Policy and Cookie Policy.
- Selecting an appropriate legal basis for data collection.
- Responding appropriately to data-subject requests.
- Ensuring that the assistant is suitable for their industry.
- Preventing unauthorized use of administrative accounts.
- Maintaining appropriate website security and backups.
The customer must not configure or use the assistant to provide regulated professional advice unless the use has been separately reviewed and lawfully implemented.
13. Acceptable use
Users and clients must not:
- Use the service for unlawful purposes.
- Submit deliberately false or misleading information.
- Use the service to harass, threaten or discriminate.
- Generate or distribute illegal or harmful content.
- Attempt to exploit or manipulate the AI system.
- Bypass security, access or rate-limit controls.
- Send spam or automated attacks.
- Attempt unauthorized access to accounts, servers or dashboards.
- Introduce malware or harmful code.
- Collect or process personal data unlawfully.
- Submit another person’s confidential information without authorization.
- Infringe intellectual-property rights.
- Resell or sublicense the service without written authorization.
- Use the service in a way that could damage Navia, a client or a third party.
Navia may block requests, restrict features or suspend access where reasonably necessary to prevent misuse, fraud, security threats or legal violations.
14. Artificial-intelligence limitations
Users acknowledge that:
- Responses are automatically generated.
- Responses may be incomplete, inaccurate or outdated.
- The system may misunderstand requests.
- AI outputs may vary.
- Information may be based on incomplete customer instructions.
- The assistant may not have access to current or real-time information.
- AI-generated summaries and lead scores may be incorrect.
Users must independently verify important information.
The Navia AI Assistant does not provide legal, medical, financial, tax, psychological, safety-critical or other regulated professional advice.

15. Human review and lead qualification
Lead summaries, scores, categories and recommendations are indicative only.
Customers must not rely solely on AI-generated analysis when making decisions that could significantly affect an individual.
The customer is responsible for:
- Reviewing the original conversation.
- Verifying contact information.
- Confirming the person’s needs.
- Correcting inaccurate summaries.
- Applying appropriate human judgment.
- Using lead information lawfully.
Navia does not guarantee the number, quality or commercial value of leads.
16. Privacy and data protection
Personal-data processing is governed by our Privacy Policy and applicable data-protection agreements.
Depending on the processing activity:
- Navia may act as a data controller.
- A client may act as data controller.
- Navia may act as processor for a client.
Clients using the assistant on their websites are responsible for:
- Providing appropriate notices.
- Identifying a lawful basis.
- Handling visitor information lawfully.
- Responding to applicable privacy requests.
- Configuring appropriate retention.
- Restricting administrative access.
- Informing users that they are interacting with AI.
Where required, the relationship between Navia and the client should be governed by appropriate data-processing terms.
17. Third-party services
Navia may depend on third-party services, including:
- AI providers such as OpenAI.
- Hosting providers.
- Email-delivery services.
- Stripe.
- WooCommerce.
- WordPress.
- APIs.
- Domain and DNS providers.
- Security and infrastructure providers.
Navia does not control all aspects of third-party services.
Third-party services may:
- Experience outages.
- Change functionality.
- Change pricing.
- Apply usage limits.
- Discontinue features.
- Update security requirements.
- Restrict particular uses.
Navia is not responsible for interruptions or failures caused exclusively by independent third parties outside Navia’s reasonable control.
Where a third-party change materially affects the purchased service, Navia will take reasonable steps to identify an appropriate technical response, but cannot guarantee that every discontinued integration can be replaced.
18. Availability and maintenance
Navia aims to provide a stable service but does not guarantee uninterrupted or error-free availability.
The service may be temporarily unavailable because of:
- Maintenance.
- Security updates.
- Technical failures.
- Hosting outages.
- API outages.
- Network problems.
- Rate limits.
- Third-party changes.
- Events outside Navia’s reasonable control.
Navia may modify, replace or discontinue a feature where reasonably necessary for security, legal compliance, technical compatibility or service improvement.
Where a material change affects a paid service, mandatory consumer rights and the agreed service scope remain applicable.
19. Support and modifications
Support is provided only to the extent stated in the applicable product description, offer or written agreement.
Unless expressly included, support does not cover:
- Unrelated website problems.
- Third-party plugin failures.
- Hosting administration.
- Malware removal.
- New functionality.
- Website redesign.
- Custom integrations.
- Major content changes.
- Problems caused by unauthorized modifications.
- Training unrelated to the purchased service.
Requests outside the agreed scope may require a separate quotation.
20. Intellectual property
Navia retains ownership of its pre-existing and general-purpose:
- Source code.
- Software.
- Systems.
- Frameworks.
- Templates.
- Prompts.
- Methods.
- Documentation.
- Designs.
- Technology.
- Know-how.
- Administrative tools.
- Reusable components.
The customer retains ownership of materials lawfully supplied by the customer, including logos, trademarks, business content and proprietary information.
Unless otherwise agreed in writing, the customer receives a limited, non-exclusive, non-transferable right to use the configured service for the website, business and duration stated in the applicable order or agreement.
The customer may not:
- Copy or extract Navia source code.
- Reverse engineer the service.
- Resell or sublicense the service.
- Remove ownership or security notices.
- Provide unauthorized third-party access.
- Reproduce or distribute Navia technology without permission.
- Use Navia’s branding in a misleading manner.
Custom-development ownership and licensing may be governed by a separate written agreement.
21. Customer-provided materials
The customer grants Navia permission to use supplied business information, logos, text, images and other materials only as reasonably necessary to provide the agreed service.
The customer confirms that:
- They own the supplied materials or have permission to use them.
- The materials do not unlawfully infringe third-party rights.
- The information is not knowingly false or misleading.
- The materials may lawfully be processed for the agreed service.
The customer is responsible for claims arising from materials supplied without the necessary rights, except to the extent caused by Navia’s unauthorized use.
22. Consumer right of withdrawal
If the customer is a consumer and purchases a service online, the customer may have a statutory right to withdraw from the contract within 14 days without giving a reason, subject to applicable Bulgarian and European Union law.
Where the customer expressly requests that Navia begin providing the service during the 14-day withdrawal period:
- Navia may begin work after receiving the express request.
- If the customer subsequently withdraws before the service is fully completed, the customer may be required to pay a proportionate amount for work already performed, where permitted by law.
- If the service has been fully performed after the customer expressly requested immediate performance and acknowledged the applicable loss of the withdrawal right, the withdrawal right may no longer apply.
For digital content supplied immediately, loss of the withdrawal right may require the customer’s prior express consent, acknowledgement and the legally required confirmation.
Nothing in these Terms removes mandatory rights that apply to consumers.
Instructions for exercising withdrawal rights should be provided through the Return and Refund Policy or a separate withdrawal form.
23. Refunds
Refund eligibility is governed by:
- Applicable consumer law.
- The Return and Refund Policy.
- The stage of implementation.
- Whether work has begun.
- Whether the service has been supplied.
- Whether the service is customized.
- Whether a defect or non-conformity can be corrected.
- The customer’s express request for early performance.
Submitting a refund request does not guarantee approval where no statutory or contractual refund right exists.
If a refund is approved or legally required, Navia may suspend or terminate access to the refunded service, assistant, dashboard, integrations and associated configurations.

24. Payment disputes and chargebacks
Customers should contact Navia before initiating a payment dispute so that Navia has a reasonable opportunity to investigate and resolve the issue.
Where a payment is:
- Reversed.
- Refunded.
- Disputed.
- Subject to a chargeback.
- Identified as unauthorized or fraudulent,
Navia may suspend the corresponding service while the matter is investigated.
This does not restrict a customer’s mandatory right to challenge an unauthorized or incorrect payment.
Fraudulent or abusive chargebacks may result in service termination and recovery of reasonably incurred costs where permitted by law.
25. Suspension and termination
Navia may suspend or terminate a service where reasonably necessary because of:
- Material violation of these Terms.
- Unlawful use.
- Fraud.
- Security risk.
- Unauthorized access.
- Spam or abuse.
- Intellectual-property infringement.
- A refunded or reversed payment.
- A payment dispute or chargeback.
- Failure to provide information required to deliver the service.
- Use that may cause harm to Navia, a client or a third party.
Where reasonably possible, Navia will provide notice and an opportunity to remedy a remediable breach.
Immediate suspension may occur where necessary to address fraud, unlawful conduct, data-security risk or material harm.
Termination may result in loss of access to the assistant, dashboard, integrations and related configurations, subject to applicable data-retention requirements and mandatory consumer rights.
26. No guaranteed business results
Navia does not guarantee:
- A particular number of leads.
- Increased sales.
- Increased revenue.
- Conversion rates.
- Search-engine rankings.
- Reduced operating costs.
- Customer satisfaction.
- Successful customer acquisition.
- Any specific commercial outcome.
Business results depend on factors outside Navia’s control, including website traffic, customer demand, prices, service quality, market conditions and the client’s response to inquiries.
27. Conformity and correction of defects
Navia will provide purchased services according to the agreed description and applicable mandatory law.
If the service materially fails to conform to the agreed requirements, the customer should notify Navia with sufficient details.
Where appropriate, Navia will have a reasonable opportunity to:
- Investigate the reported problem.
- Correct a configuration error.
- Restore missing agreed functionality.
- Provide an appropriate replacement or workaround.
Nothing in these Terms limits mandatory remedies available to consumers for digital content or digital services that are faulty, not as described or not supplied as agreed.
28. Disclaimer of warranties
To the extent permitted by law and subject to the expressly agreed service description, Navia does not warrant that:
- The service will always be uninterrupted.
- Every AI response will be accurate.
- Every integration will remain available indefinitely.
- The service will meet every unstated expectation.
- The service will produce a specific business result.
- Every third-party platform will remain compatible.
Any warranty exclusion applies only to the extent permitted by law and does not remove mandatory consumer guarantees or rights.
29. Limitation of liability
To the maximum extent permitted by applicable law, Navia will not be liable for indirect or consequential losses resulting solely from:
- Reliance on unverified AI-generated content.
- Incorrect information supplied by the customer.
- Unauthorized customer modifications.
- Failure to maintain adequate backups.
- Customer misuse.
- Independent third-party outages outside Navia’s reasonable control.
- Failure to protect account credentials.
- Use outside the agreed scope.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability for intentional misconduct, gross negligence where applicable, personal injury caused by negligence, or mandatory consumer rights.
Any limitation must be interpreted fairly and proportionately in light of the service purchased and applicable law.
30. Security
Navia applies reasonable technical and organizational security measures. However, no online service can guarantee absolute security.
Customers are responsible for:
- Protecting account credentials.
- Restricting administrative access.
- Removing temporary website accounts.
- Maintaining website and data backups.
- Updating their own website software.
- Reporting suspected unauthorized access promptly.
Security incidents will be handled according to applicable law and the Privacy Policy.
31. Confidentiality
Each party should protect non-public business, technical and security information received from the other party and use it only for the relevant service.
Confidential information does not include information that:
- Is already publicly available without breach.
- Was lawfully known before disclosure.
- Is received lawfully from another source.
- Is independently developed without using confidential information.
- Must be disclosed by law.
Customers must not send unnecessary passwords, payment details or highly sensitive information through ordinary chat or email.
32. Changes to these Terms
Navia may update these Terms to reflect:
- Legal or regulatory changes.
- Security requirements.
- Changes to services.
- New technologies.
- Clarification of existing provisions.
Updated Terms will be published with a revised “Last updated” date.
Material changes will not retroactively remove rights or materially reduce an already purchased service without a valid legal basis.
Where required, customers will receive appropriate notice.
Continued use does not replace express consent where consent is legally required.
33. Governing law and disputes
These Terms are governed by the laws of the Republic of Bulgaria.
Before commencing formal proceedings, the parties should attempt to resolve disputes by contacting:
Nothing in these Terms prevents a consumer from relying on mandatory protections provided by the law of the country where the consumer habitually resides, where applicable.
Nothing in these Terms unlawfully restricts a consumer’s right to bring proceedings before a competent court available under applicable consumer law.
34. Severability
If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.
The invalid provision will be interpreted or replaced only to the minimum extent necessary to make it lawful and enforceable.
35. Entire agreement
These Terms, together with the applicable order, product description, Privacy Policy, Cookie Policy, AI Disclaimer, Return and Refund Policy and any accepted written proposal, form the agreement relating to the purchased service.
A separately signed written agreement takes priority where it expressly conflicts with these general Terms.
